1. Who this agreement is between
This agreement is between Flagbase Pty Ltd (ABN 49 686 408 668), trading as BankSync (“BankSync”, “we”), and the workspace that becomes a creator (“you”). The workspace admin who accepts it confirms they may bind the person or business that owns the workspace.
It adds to the BankSync Terms & Conditions and Privacy Policy, which keep applying. Where they conflict on publishing to the marketplace, this agreement wins.
2. What it covers
Everything you publish through Settings › Creator, the API, MCP or the CLI: your creator profile (name, address, summary, images, website and public email), listings, their releases (the template, automation, dashboard, table or app definition installers receive), screenshots, videos and captions, and directory listings that invite enquiries (“Your Content”).
3. You keep ownership; the licences you give
You keep all rights you have in Your Content. You give:
- BankSync a worldwide, non-exclusive, royalty-free licence to host, copy, review, display, index, describe, make previews of and distribute Your Content for running and promoting the marketplace. It lasts while the content is published and for a reasonable time after, so caches, backups and records can expire.
- Each workspace that installs a release a worldwide, non-exclusive, royalty-free, perpetual licence to install it, use it, and change the copy made in their workspace. An install keeps working after you unlist, delete or replace the listing.
4. What you promise
- You own Your Content or have every right needed to publish it under these licences.
- Listings say truthfully what a release does, what it needs, and what it puts in a workspace. No hidden behaviour, no misleading names, images or claims.
- Releases contain no credentials, secrets, other people's personal data or financial data. BankSync strips workspace-specific references, and you still check what you publish.
- Nothing you publish is malicious, unlawful, infringing, or built to send installers' data somewhere they did not choose.
- An app does not offer bank connections as its own service, and does not sell, sublicense or pass on installers' financial data to anyone else. It uses that data only to provide what the installer installed it for.
- You do not impersonate another person, business or BankSync.
- Your public email and website are yours to publish, and you answer support questions about your listings within a reasonable time.
5. Review and verification
You can save drafts and share private links before accepting this agreement. Submitting a listing for public review needs it accepted at the current version. We review each submitted release and may approve it, ask for changes, or reject it with a reason.
A verified badge means the listing met our review standards when we reviewed it. It is not an endorsement, a warranty, or advice about any installer's finances. Listings opened by private link before review are shown as unverified.
Install counts are shown publicly as ranges, never exact numbers. We do not tell you which workspaces installed your releases.
6. Releases and versioning
A published release never changes. To change a listing, publish a new release; it is reviewed like the first. Installed workspaces see that an update is available and choose whether to take it. Nothing changes in their workspace without them. You may not use a release to change behaviour after review, for example by depending on content you control elsewhere.
7. Removal and suspension
You can unlist or delete a listing, or stop being a creator, at any time. Existing installs keep their copies (see the licence above).
We may reject, unlist, suspend or remove a listing, a release, media or your creator profile if we reasonably believe it breaks this agreement, our Terms or the law, puts installers or BankSync at risk, or we receive a credible legal complaint. Suspending a creator suspends all their listings. Where it is safe and lawful, we tell you why and give you a chance to fix it. To dispute a decision, email support@banksync.io.
8. Leads and contact data
Directory listings let people send you an enquiry. We relay each enquiry and its sender details to you. That information is personal data of the person who wrote in, and you receive it as an independent controller.
- Use it only to answer that enquiry and to provide what they asked about.
- Do not sell it, share it, or add the person to marketing lists unless they agree separately.
- Keep it secure, and delete it when you no longer need it or the person asks.
- Follow the privacy and anti-spam laws that apply to you.
We keep relayed enquiries for 24 months, then delete them. We may rate-limit, filter or withhold enquiries that look like spam or abuse.
9. Fees
Publishing is free today, and installers do not pay you through BankSync. If we introduce paid listings or payouts, we will publish a new version of this agreement first, and nothing changes for you until you accept it.
10. Liability
The marketplace is provided as is. To the extent the law allows, BankSync gives no warranty that the marketplace will be available, error-free, or that any listing will be approved, featured or installed. You are responsible for Your Content and for the support you offer installers. You agree to cover BankSync for claims that arise from Your Content breaking this agreement or infringing someone's rights.
Neither of us is liable to the other for indirect or consequential loss, or loss of profit, revenue or data, arising from this agreement. Otherwise, the limits of liability in our Terms & Conditions apply. Nothing here limits rights or liability that the law does not allow to be limited, including under the Australian Consumer Law.
11. Changes to this agreement
Each version is dated, and the version in force is shown at the top of this page and in Settings › Creator. When we change the terms we publish a new version. Your drafts, private links and published listings are unaffected, but submitting another listing for review needs the new version accepted. If you do not accept it, you can unlist your listings or stop being a creator.
12. Ending and contact
Either of us can end this agreement: you by deleting your creator profile, we by notice for a breach or if we close the marketplace. The licences to installers, the leads, liability and these ending terms survive. Questions: support@banksync.io.
